CLUB GOVERNANCE

CONSTITUTION

As amended November 8, 2016 [cite: 2]

We, the undersigned, wishing to secure for ourselves the pleasure and benefits of an association of persons commonly interested in Amateur radio, constitute ourselves the BLACK DIAMOND AMATEUR RADIO CLUB, INC., and enact this constitution as our governing law[cite: 3]. It shall be our purpose to further the exchange of information and cooperation between members; to promote radio knowledge, fraternalism and individual operating efficiency; and to advance the general interest and welfare of Amateur Radio in the community[cite: 4, 5].

ARTICLE I - Membership

All persons interested in Amateur Radio communication shall be eligible for membership[cite: 9]. Membership shall be upon such terms as the club shall provide in its By-Laws[cite: 10].

ARTICLE II - Officers and Methods of Election

Section A: The officers of this club shall be President, Vice President, Secretary, and Treasurer[cite: 12]. Additionally an "at large" club member will be elected to serve on the Executive Committee[cite: 13].

Section B: Officers shall be elected for a term of one year by ballot of the members present, provided there be a quorum, at the March monthly meeting[cite: 14].

Section C: Nominations will be made from the floor during the February monthly meeting[cite: 15]. A majority of votes shall constitute the election to office[cite: 17].

ARTICLE III - Duties of Officers

President: Preside at all meetings, enforce due observation of this Constitution and By-Laws, and sign all official documents[cite: 21, 22].

Vice President: Assume all duties of the President in the event of removal, resignation, or death[cite: 23]. Maintain liaison with the ARRL Section Emergency Coordinator[cite: 25].

Secretary: Keep a record of proceedings, keep a roll of members, and deliver meeting notices[cite: 26].

Treasurer: Receive and receipt for all monies, keep accurate accounts, and pay no bills without proper authorization[cite: 28].

ARTICLE IV - Meetings

A minimum of 25% of the current membership shall constitute a quorum for the transaction of business[cite: 31]. Roberts Rules of Order shall govern all proceedings[cite: 32].

ARTICLE V - Dues

The club may levy such dues or assessments as deemed necessary for the business of the organization by a majority vote of those present[cite: 34]. Non-payment of dues is covered under the By-Laws[cite: 35].

ARTICLE VI - Membership Assistance

The club will provide technical advice to members concerning equipment design and operation to assist in frequency observance and clean signals[cite: 37]. The club shall also maintain a program to foster and guide new amateurs[cite: 38].

ARTICLE VII - Amendments

This constitution or the By-Laws may be amended by a 75% vote of the total membership present and voting[cite: 40]. Proposals must be submitted in writing at a regular meeting and voted on at the next meeting[cite: 41].

ARTICLE VIII - Club Disbandment

The Black Diamond Amateur Radio Club, Inc. can only be disbanded by a 100% Yes Vote to Disband by 100% of the membership[cite: 43].

BY-LAWS

Secretary: The secretary must keep the Constitution and By-Laws at every meeting and provide a copy to every new member[cite: 57, 59].

Membership & Dues: Annual dues are $20.00 ($10.00 for additional family members)[cite: 61, 62]. Dues are payable in advance and become delinquent after the July meeting[cite: 63, 64].

Fiscal Year: April 1st to March 31st[cite: 67].

Voting: Members must be present at the meeting to cast a vote[cite: 72].
